Your Agreement to the Terms

This is a legal agreement between you (the user, aged 18 years or above) and Ubicos Technologies Pvt Ltd, registered at 407, Global Business Hub, Kharadi, Pune – 411014. The Ubicos PULSE platform enables sales organizations, distributors, and retailers to manage field activity, orders, and channel operations. The company disclaims responsibility for service quality or any resulting damages.

Independent Contractor Relationship

Sales organizations, dealers, and distributors using the platform are independent contractors. Nothing in this agreement establishes a partnership, employment, franchisee, joint venture, or agency relationship between you and Ubicos.

Termination & Violations

Ubicos Technologies Pvt Ltd may, at its sole discretion, suspend or terminate your account or access to the Services at any time without prior notice in the event of violations, misuse, or fraudulent activity.

Limitation of Liability

The Company excludes all indirect, consequential, or punitive damages. The maximum liability of Ubicos shall not exceed Rs. 100 or the amount paid by you for the Service, whichever is lesser.

Indemnification

You agree to indemnify and hold harmless Ubicos against any claims arising from misuse of the platform, violation of these terms, or misconduct on your part.

Disclaimer of Warranties

Ubicos Technologies provides the platform and Services on an "as is" and "as available" basis without any warranties, express or implied, including but not limited to uninterrupted or error-free operation.

Ownership & Intellectual Property

All content, design, code, trademarks, and materials on the platform belong to the Company or its licensors. Copying, modification, or unauthorized distribution is strictly prohibited without written permission.

Modification of Terms

The Company reserves the right to modify these terms at any time. Updated terms become effective 24 hours after posting on the platform.

Notices

All legal notices must be sent to: Ubicos Technologies Pvt Ltd, 407, Global Business Hub, Kharadi, Pune – 411014.

Waiver

The failure of Ubicos to enforce any provision of these Terms shall not be construed as a waiver of its right to do so in the future.

Arbitration

Any disputes arising out of these Terms shall be resolved through binding arbitration under the Indian Arbitration & Conciliation Act, 1996, with the seat of arbitration in Pune.

Governing Law

These Terms are governed by the laws of India. Courts in Pune shall have exclusive jurisdiction over any dispute arising in connection with these Terms.

Limitations & Damages

Ubicos Technologies' liability, regardless of the cause, is limited to INR 100.

Severability

If any clause of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.

Assignment

You may not transfer or assign your rights under these Terms without prior written consent. Ubicos may assign or transfer its rights freely.

Survival

Provisions related to limitation of liability, indemnification, intellectual property, and governing law shall survive termination of this agreement.

Headings

Section titles are for organizational convenience only and do not affect interpretation of these Terms.

Account Deletion & Data Handling

You may request deletion of your account at any time through the Profile screen of the Ubicos PULSE application. Upon request, all personal data will be permanently removed within 90 days, except where retention is required by law.

Privacy Policy

Your use of the platform is also governed by our Privacy Policy, which forms an integral part of these Terms.

Third-Party Platforms

Apple and Google are not responsible for the app's content, maintenance, or support. Any issues with the application must be reported directly to Ubicos.
